These Terms of Service ("Terms") govern your access to and use of RallyGift, operated by Gormly LLC, a Missouri limited liability company ("RallyGift," "we," "us," or "our").
By accessing or using RallyGift.com (the "Platform"), you agree to be bound by these Terms.

# 1. What RallyGift Is
RallyGift is a platform that enables individuals ("Organizers") to create group gifting campaigns ("Rallies") and collect voluntary contributions from friends, family members, coworkers, and other supporters ("Contributors").
RallyGift:
* Is not a bank.
* Is not a trustee or escrow agent.
* Does not guarantee the purchase or delivery of any gift.
* Does not control how Organizers use collected funds.
* Does not guarantee that a Rally will reach its goal.
Organizers are solely responsible for how funds are used after payout.

# 2. Eligibility
You must be at least eighteen (18) years old to create a Rally, receive payouts, or otherwise use RallyGift as an Organizer.
By using RallyGift, you represent and warrant that:
* You are legally capable of entering into binding agreements.
* All information you provide is accurate and complete.
* You will comply with all applicable laws and regulations.

# 3. Payments & Stripe
All payments are processed securely through Stripe.
By contributing or receiving payouts, you agree to:
* Stripe's Terms of Service
* Stripe's Privacy Policy
RallyGift uses Stripe Checkout and Stripe Connect Express to facilitate contributions and payouts.
Organizers may be required to provide identity verification, banking information, tax information, or other documentation directly to Stripe in order to receive funds.
RallyGift does not collect or store bank account information.

# 4. Platform Fees
RallyGift may charge a platform fee (currently 6.5%).
Contributors may have the option to voluntarily cover platform fees during checkout.
If fees are not covered by Contributors, applicable fees may be deducted from the total amount raised before payout.
Platform fees are generally non-refundable except at RallyGift's sole discretion.
RallyGift reserves the right to modify fees at any time.

# 5. Rallies & Deadlines
Rallies are intended for personal group gifting purposes.
Examples include:
* Birthdays
* Baby showers
* Weddings
* Graduations
* Retirement gifts
* Holiday gifts
* Group experiences
* Other personal gifting occasions
Rallies may not be used for:
* Investments
* Securities offerings
* Business fundraising
* Political fundraising
* Charitable fundraising requiring registration
* Loans
* Illegal activity
Unless otherwise permitted by RallyGift, a Rally may remain active for a maximum of eight (8) months from creation.
RallyGift may, at its sole discretion, approve deadline extensions.

# 6. Contributor Information & Visibility
Contributors understand that information voluntarily submitted during a contribution may be visible to Organizers and other participants.
This may include:
* Contributor name
* Messages
* Comments
* Contribution-related content
Contribution amounts may or may not be displayed depending on Platform settings.
Contributors are responsible for the information they choose to share.

# 7. Payouts
Payouts are subject to:
* Rally deadline expiration
* Completion of Stripe onboarding
* Identity verification requirements
* Stripe compliance requirements
* Fraud review when necessary
RallyGift may require additional documentation before releasing funds.
Payout timing depends on Stripe and banking systems.
RallyGift does not guarantee:
* Approval of Stripe accounts
* Availability of Stripe services
* Bank processing times
* Deposit timing
Once a payout has been successfully initiated through Stripe, it generally cannot be reversed by RallyGift.

# 8. Incomplete Payouts & Unclaimed Funds
Organizers are responsible for completing payout requirements promptly.
Failure to complete Stripe onboarding, identity verification, tax documentation, or other required steps may delay or prevent payout.
Funds associated with incomplete payouts may be subject to:
* Administrative review
* Additional verification requirements
* Compliance obligations
* Applicable unclaimed property laws
RallyGift reserves the right to take reasonable actions necessary to comply with legal and regulatory obligations relating to unclaimed funds.

# 9. Refunds
Contributions are generally final once successfully processed.
Refund requests may be reviewed on a case-by-case basis.
Approved refunds may be reduced by:
* Payment processing fees
* Platform fees
* Chargeback costs
* Other transaction-related expenses
RallyGift reserves the right to deny refund requests where funds have already been disbursed or are otherwise unavailable for recovery.

# 10. Organizer Responsibilities
Organizers agree to:
* Use funds for lawful purposes
* Accurately represent the purpose of their Rally
* Not mislead Contributors
* Comply with all applicable laws
* Complete required payout verification processes
Organizers are solely responsible for how funds are used after payout.

# 11. Prohibited Activities
You may not use RallyGift to:
* Facilitate illegal activity
* Engage in fraud or deceptive conduct
* Launder money
* Circumvent financial regulations
* Infringe intellectual property rights
* Transmit harmful or malicious content
* Use the Platform in a manner that creates risk for RallyGift, Stripe, Contributors, or Organizers
RallyGift reserves the right to remove, suspend, restrict, or terminate any Rally or account at its sole discretion.

# 12. Taxes
Organizers are solely responsible for determining and satisfying any tax obligations associated with funds received through RallyGift.
Stripe or other payment providers may issue tax forms, including Form 1099-K, where required by law.
RallyGift does not provide tax, accounting, or legal advice.

# 13. Limitation of Liability
To the fullest extent permitted by law, RallyGift and Gormly LLC shall not be liable for:
* Misuse of funds by Organizers
* Disputes between Organizers and Contributors
* Payment processing delays
* Stripe account restrictions
* Failed payouts caused by incomplete verification
* Chargebacks or payment disputes
* Indirect, incidental, special, consequential, or punitive damages
Use of the Platform is at your own risk.

# 14. Indemnification
You agree to defend, indemnify, and hold harmless RallyGift, Gormly LLC, their owners, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, and expenses arising from:
* Your use of the Platform
* Your violation of these Terms
* Your violation of applicable law
* Fraudulent, deceptive, or unlawful conduct

# 15. Changes to These Terms
RallyGift may modify these Terms at any time.
Updated Terms will be posted on the Platform with a revised "Last Updated" date.
Continued use of RallyGift after changes become effective constitutes acceptance of the revised Terms.

# 16. Governing Law
These Terms are governed by and construed under the laws of the State of Missouri, without regard to conflict of law principles.
Any dispute arising from these Terms shall be resolved in the state or federal courts located in Missouri.
